01 · Practice

Corporate law, M&A and contracts

The Firm has been advising international groups and Chadian companies on corporate operations for nearly thirty years, from incorporation to transmission. Our practice covers all corporate forms available under the OHADA Uniform Act on Commercial Companies and the EIG (AUSCGIE) and the specific Chadian business vehicles.

Incorporation, M&A and corporate governance

Choice of corporate form (SA, SARL, SAS, branches, representative offices), drafting and negotiation of articles of association and shareholders’ agreements, formalities before the ANIE and the one-stop shop, mergers and acquisitions, intra-group restructurings, dissolution and liquidation.

Contracts

Drafting and negotiation of strategic contracts — services, subcontracting, distribution, franchise, joint venture, intra-group conventions — under Chadian law and OHADA law.

02 · Practice

Employment law

The Firm advises the HR departments of international groups established in Chad and defends their interests in individual and collective disputes, throughout the full employment lifecycle.

Counsel and compliance

Drafting employment contracts and amendments, delegations of authority, internal rules, IT charters, internal policies, disciplinary procedures, social audits during M&A and restructurings.

Litigation and restructuring

Individual and collective dismissals, settlement agreements, employment social plans, representation before the Labor Court and Court of Appeal of N’Djamena and across Chad, support before the Labor Inspectorate.

03 · Practice

Debt recovery (OHADA)

The Firm assists financial institutions, businesses and public bodies facing unpaid receivables, throughout both amicable and contentious recovery, under the OHADA Uniform Act on Simplified Recovery Procedures and Enforcement Measures (AUPSRVE).

Amicable recovery and pre-litigation

Case analysis, negotiation with the debtor, formal notices, settlement agreements, recognitions of debt, conciliation and mediation.

OHADA procedures and enforcement

Payment orders, conservatory attachments, attachment of bank accounts, attachments on movables and real estate, security enforcement under the OHADA Uniform Act on Securities (AUS).

04 · Practice

Tax law

The Firm advises businesses and entrepreneurs from their setup phase, structures cross-border operations in the CEMAC zone, and assists taxpayers in their dealings with the Chadian tax administration.

Tax counsel and setup structuring

Tax optimization at incorporation (capital contribution vs. intragroup loan), registration and Tax Identification Number (NIF), corporate income tax, VAT, capital gains tax (IRCM), withholding tax on cross-border services.

International tax and tax litigation

Application of bilateral tax treaties signed by Chad, intragroup dividend structuring, transfer pricing, support during tax audits, negotiation and litigation of tax reassessments, tax recovery proceedings.

Commercial litigation and arbitration

The Firm is one of the reference players in commercial litigation in Chad and the OHADA zone. Its founder, former President of the Chadian Bar (Bâtonnier), is registered as an arbitrator before the OHADA Common Court of Justice and Arbitration (CCJA) in Abidjan.

Commercial litigation and OHADA insolvency

Representation before the Commercial Court of N’Djamena, the High Court and the Court of Appeal and across Chad, commercial contract disputes, civil and tort liability, insolvency procedures under the OHADA Uniform Act (AUPCAP).

Arbitration and enforcement

Representation in OHADA, ICC and AAA arbitrations, advice on arbitration clauses, exequatur and annulment proceedings, conservatory and enforcement measures under the AUPSRVE.

Banking and CEMAC financial regulation

The Firm advises international financial institutions, national and regional banks, as well as banking services users established in Chad and in the CEMAC zone, under the CEMAC Regulation 01/02/CEMAC/UMAC/COBAC and OHADA Uniform Acts.

Banking counsel and CEMAC/COBAC compliance

COBAC prudential compliance, credit institution and microfinance licensing, support for microfinance institutions (EMF), anti-money laundering and counter-terrorism financing (AML-CFT).

Banking transactions and litigation

Credit agreements, securities (mortgages, pledges, guarantees), project financing in oil, energy and infrastructure, syndications, recovery of banking receivables, defense in banking civil liability.

07 · Practice

Aviation, maritime and transport law

The Firm advises international transport operators — airlines, maritime carriers, ship agencies, freight forwarders and logistics operators — on their operations in Chad.

Establishment and contracts

Incorporation of subsidiaries and representative offices for foreign airlines and shipping companies, sectoral licenses, transport contracts (charter parties, bills of lading, freight agreements), ship agency agreements, port and airport handling contracts.

Transport litigation

Defense of airlines in passenger disputes (denied boarding, delay, cancellation, lost baggage), cargo disputes (damage, loss), subrogation claims by insurers, administrative litigation.

Digital, data protection and cybersecurity

The Firm advises telecommunications operators, digital service providers (telematics, IoT, fintech, platforms), industrial users of connected technologies, and institutions and NGOs on compliance with Chadian digital law, structured since the 2014 and 2015 founding laws on cybersecurity and electronic communications.

Electronic communications and ARCEP licensing

Authorization procedures before the Electronic Communications and Postal Regulatory Authority (ARCEP): licensing regime (article 17 of Law 14/PR/2014) for networks open to the public, declaration regime (article 33) for value-added services and other categories.

Data protection and cybersecurity

Compliance with Law 007/PR/2015 on personal data protection, support before the National Agency for IT Security and Electronic Certification (ANSICE), counsel on cyber incidents, cloud and SaaS contract compliance, securing telematics and IoT solutions.

Legal framework: Law 14/PR/2014 on electronic communications, Law 007/PR/2015, Ordinance 009/PCMT/2022, ANSICE and ARCEP instructions.

Environmental law

The Firm advises industrial companies, international institutions and humanitarian organizations on environmental issues related to their activities in Chad — risk assessment, regulatory compliance and defense in environmental litigation.

Environmental compliance and impact assessments

Counsel on Chadian environmental regulation, environmental and social impact assessments (ESIA), compliance with international standards (IFC Performance Standards, Equator Principles), industrial and hazardous waste management.

Renewable energy and extractive sectors

Advice on independent power producer (IPP) projects, Power Purchase Agreements (PPA), green financing structuring, environmental compliance of oil, mining and renewable energy projects, mining site rehabilitation.

Oil, gas and mining

The Firm is one of the reference advisors to international oil and mining operators present in Chad. For over twenty years, it has assisted majors, their subsidiaries and subcontractors throughout their lifecycle in the country, in coordination with leading international firms.

Establishment and operations

Mining and oil permit applications and renewals, negotiation of establishment agreements with the Chadian State, administrative, tax and environmental compliance, Production Sharing Agreements, base conventions, local content arrangements.

Litigation and restructuring

Defense before Chadian administration and courts, international arbitration (ICC, CCJA), divestments and intra-group restructurings, site dismantling.

Public-private partnerships and public law

The Firm advises private operators and multilateral funders on legally securing public-private partnerships (PPPs) and infrastructure projects in Chad, throughout the project lifecycle, in coordination with leading international firms.

PPP structuring and public procurement

Counsel on the Chadian investment incentive framework, negotiation of investment agreements with the State and local authorities, public procurement compliance with international funders’ rules, BOT/BOOT/DBO structures, concession contracts, project and direct agreements.

Sector experience and litigation

Work on regional and national infrastructure projects in energy, telecommunications, agricultural infrastructure, mining and transport, defense in administrative litigation, State-investor arbitration, enforcement of awards against the State under the New York Convention.
